The Little Library Membership Agreement

Effective Date: 7/21/2026

This Membership Agreement (“Agreement”) is entered into between The Little Library LLC (“The Little Library,” “we,” “us,” or “our”) and the individual or business enrolling in a membership (“Member,” “you,” or “your”).

This Agreement applies to The Little Library’s Studio Pass and Dedicated Desk memberships. It does not apply to private offices, which are governed by a separate agreement.

By enrolling in a membership, electronically accepting this Agreement, or using The Little Library’s premises, you agree to the terms below.

1. The Space

The Little Library operates a shared coworking space located at:

400 Victoria Avenue
Lynchburg, Virginia 24504

The space includes shared work areas, a conference room, lounge areas, a kitchenette, bathrooms and other amenities made available by The Little Library from time to time.

The Little Library is intentionally designed as a quiet, professional and shared work environment. Membership does not guarantee uninterrupted access to any particular shared seat, room, amenity or service unless expressly stated in this Agreement.

2. Membership Options

Studio Pass

The Studio Pass currently costs $175 per month.

The Studio Pass includes access to available community-table and lounge seating during regular member hours, together with the shared amenities generally included with membership.

Studio Pass seating is shared, available on a first-come basis and may not be permanently reserved or used to store personal belongings between visits.

The Studio Pass begins on the Member’s enrollment date and continues on a month-to-month basis until canceled in accordance with this Agreement.

Dedicated Desk

The Dedicated Desk membership currently costs $275 per month.

The Dedicated Desk membership includes use of an assigned desk and designated storage, together with the shared amenities generally included with membership.

Dedicated Desk memberships require an initial commitment of three consecutive months. The Member is financially responsible for all three months of the initial commitment, even if the Member stops using the space or cancels before the end of that period.

After the initial three-month commitment, the Dedicated Desk membership automatically continues on a month-to-month basis until canceled in accordance with this Agreement.

Dedicated Desk members must keep their desk reasonably clean and professional, use the storage provided and refrain from attaching, pinning, taping or mounting items to walls or other building surfaces without prior written approval.

3. Included Amenities

Membership currently includes access to:

  • High-speed internet and utilities

  • offee and filtered water

  • A shared kitchenette and refrigerator

  • On-site and street parking, subject to availability

  • Conference-room access, subject to availability and booking requirements

  • Shared bathrooms

  • Other shared furnishings and amenities made available by The Little Library

Amenities may occasionally be unavailable because of maintenance, repairs, internet or utility interruptions, private reservations, emergencies or circumstances outside The Little Library’s reasonable control.

Temporary interruption of an amenity or service does not automatically entitle the Member to a refund or credit.

4. Membership Hours and Access

Members may enter the space Monday through Friday between 7:00 a.m. and 5:00 p.m. Members already inside may finish their workday but must leave the premises no later than 6:00 p.m.

The space may be closed on holidays, during severe weather, for maintenance, for emergencies or for other operational reasons. The Little Library will provide reasonable notice of planned closures when practical.

Membership does not include weekend, overnight or twenty-four-hour access unless The Little Library provides separate written permission.

Access credentials, keys and door codes are for the Member’s personal use only. Members may not share access credentials or allow another person to enter the space without authorization.

The Little Library may change access procedures when reasonably necessary for safety, security or business operations.

5. Billing and Automatic Renewal

Membership fees are billed each month automatically in advance using the payment method provided through Breely or The Little Library’s designated billing platform.

By enrolling, the Member authorizes The Little Library and its payment processor to charge the applicable membership fee and any properly authorized charges to the payment method on file.

Memberships automatically renew as follows:

  • The Studio Pass renews monthly until canceled.

  • The Dedicated Desk renews monthly during the initial three-month commitment and continues month-to-month after that commitment until canceled.

The Member is responsible for maintaining a current and valid payment method.

The Little Library may change membership pricing by providing advance written or electronic notice. Any pricing change will take effect no earlier than the Member’s next billing cycle following the stated notice period, subject to applicable law.

6. Failed or Late Payments

If a payment is declined, returned or otherwise unsuccessful, The Little Library may attempt to process the payment again and may notify the Member through Breely or email.

The Little Library may temporarily suspend the Member’s access until the outstanding balance is paid.

Suspension due to nonpayment does not cancel the membership, extend the membership term or eliminate amounts owed under an initial commitment.

The Member is responsible for any reasonable returned-payment or chargeback costs imposed on The Little Library by its payment processor, to the extent permitted by law.

7. Member Cancellation

Membership cancellation must be completed through the Member’s Breely account.

Members are also encouraged to email hello@thelittlelibrary.co as a courtesy so that The Little Library knows the cancellation was intentional and can assist with move-out or account details. The courtesy email is not required to make an otherwise valid cancellation submitted through Breely effective.

To avoid the next monthly charge, cancellation must be completed before the Member’s next scheduled billing date.

Membership remains active through the end of the period already paid for. Membership fees are nonrefundable, and partial months are not prorated.

Studio Pass Cancellation

A Studio Pass member may cancel at any time before the next scheduled billing date. The cancellation will become effective at the end of the current paid membership period.

Dedicated Desk Cancellation

A Dedicated Desk member may submit a cancellation during the initial three-month commitment, but the Member remains responsible for all membership fees due through the end of the three-month commitment.

After the initial commitment has been completed, the Dedicated Desk membership may be canceled before the next scheduled billing date. The cancellation will become effective at the end of the current paid membership period.

Canceling a payment method, disputing a properly authorized charge or ceasing to use the space does not constitute cancellation of the membership.

8. No Refunds or Membership Pauses

Except where required by law or expressly approved by The Little Library in writing, membership fees are nonrefundable.

The Little Library does not guarantee that memberships may be paused, frozen or transferred. Any exception must be approved in writing and will apply only to the specific circumstances approved.

Failure to use the space does not excuse payment or entitle the Member to a credit, refund or extension.

9. Membership Is Personal and Nontransferable

Membership is issued to the approved Member and may not be shared, assigned, transferred or resold.

A membership held by a business must identify the individual authorized to use the space. Employees, contractors, partners and clients of the Member do not automatically receive membership privileges.

10. Guests

The space is primarily for members.

Guests are permitted only when approved by The Little Library or when attending a properly scheduled conference-room meeting.

Guests may not independently use coworking areas, remain in the space without their host, or receive access credentials.

The Member must remain present with the guest and is responsible for the guest’s conduct, safety and compliance with applicable rules.

The Member is responsible for damage, excessive cleaning or other loss caused by the Member’s guests.

The Little Library may require guests, conference-room users or event attendees to accept a separate waiver or other terms before entering or using the space.

11. Conference Room

Conference-room access is included with membership but is subject to availability, advance booking requirements, capacity limits and any separate Conference Room Booking Policy adopted by The Little Library.

Conference-room access is not guaranteed at a particular time.

Members must reserve the room through Breely, the designated booking system, and may use it only during the reserved period. Members must allow enough time within the reservation for setup, cleanup, and departure.

The Little Library may establish reasonable limits on reservation length, advance bookings, monthly use, repeated cancellations or no-shows to ensure fair access for all members.

The Member is responsible for all guests attending the Member’s meeting and for leaving the room clean and returned to its standard arrangement.

12. Coworking Rules

The Member agrees to follow The Little Library’s current Coworking Rules, which are incorporated into this Agreement by reference.

The Coworking Rules address matters including:

  • Noise and phone calls

  • Shared seating and work areas

  • Cleaning and food

  • Conference-room use

  • Guests

  • Access and security

  • Dedicated Desk upkeep

  • Safety and respectful conduct

The Little Library may make reasonable updates to the Coworking Rules to protect the safety, function and character of the shared workspace. Material changes will be communicated to members electronically or through the membership platform before they take effect when required by law.

13. Liability Waiver

The Member must separately review and accept The Little Library’s Liability Waiver and Release Agreement.

The current waiver is available at: thelittlelibrary.co/waiver

The waiver is incorporated into this Agreement by reference but remains a separate acknowledgment so that its terms are clearly presented to the Member.

14. Professional and Lawful Use

The Member may use the space only for lawful, professional business activities that are reasonably compatible with a quiet shared coworking environment.

The Member may not:

  • Engage in illegal, dangerous, threatening, harassing, or discriminatory conduct

  • Create excessive noise, odors, dust, traffic or disruption

  • Use the space for overnight accommodation

  • Store hazardous, flammable or illegal materials

  • Use candles, open flames or unauthorized heating or cooking equipment

  • Damage or alter the building, furniture or equipment

  • Interfere with internet service, security systems or another person’s devices

  • Photograph or record another member without permission

  • Access another member’s workspace, files, property or confidential information

  • Hold public events, classes, retail operations or large gatherings without written approval

  • Represent that The Little Library is the Member’s employer, agent, partner or affiliated business

The Little Library may determine, in its reasonable discretion, whether an activity is incompatible with the workspace.

15. Business Address, Mail and Directory Use

Membership does not automatically authorize the Member to:

  • Receive mail or packages at the property

  • Register a business or legal entity at the property

  • Use the property as a registered-agent address

  • Use the address for licenses, government filings or official records

  • Create a Google Business Profile or similar public listing using the address

Any business address or mail service must be separately approved in writing and may be subject to additional terms or fees.

Members may choose whether to participate in The Little Library’s member directory. By providing directory information for publication, the Member authorizes The Little Library to display the approved business name, description, logo, website and contact information until the Member withdraws that permission.

16. Personal Property and Storage

The Member is responsible for all personal property brought into the space.

The Little Library does not provide insurance for the Member’s computers, equipment, documents or other property and is not responsible for theft, loss or damage except to the extent liability cannot legally be waived.

Studio Pass members must remove their personal belongings at the end of each visit.

Dedicated Desk members may keep reasonable business property within their assigned desk and designated storage area. Items may not obstruct exits, walkways or shared areas.

Members should maintain appropriate insurance for their business property and activities.

Upon the end of membership, the Member must promptly remove all personal property and return any keys, access devices, or other Little Library property.

Property left behind may be treated as abandoned after reasonable notice and handled as permitted by applicable law. The Member may be responsible for reasonable storage, removal, shipping or disposal costs.

17. Internet, Technology and Confidentiality

Internet access is provided as a convenience and is not guaranteed to be uninterrupted, secure or suitable for any particular business activity.

Members are responsible for:

  • Securing their own computers, devices, accounts and data

  • Using appropriate passwords, encryption and virtual private networks

  • Backing up important information

  • Complying with all laws governing internet and technology use

  • Protecting confidential or regulated information

Members may not use the network to engage in hacking, unlawful downloading, distribution of malware, network interference or any activity that disrupts service for others.

Because The Little Library is a shared workspace, visual, acoustic and electronic privacy cannot be guaranteed. Members are responsible for taking appropriate precautions during confidential calls, meetings and work.

Members may not intentionally overhear, record, photograph, copy or disclose another person’s confidential information.

18. Damage and Cleaning Charges

The Member is responsible for damage beyond ordinary wear caused by the Member or the Member’s guests.

The Little Library may charge the Member for reasonable costs associated with:

  • Repairing damaged property

  • Replacing lost keys or access devices

  • Excessive cleaning

  • Removing abandoned property

  • Restoring furniture or equipment

  • Responding to unauthorized access caused by credential sharing

The Little Library will provide reasonable documentation of such charges upon request.

19. Safety and Emergencies

Members must promptly report injuries, unsafe conditions, spills, leaks, security concerns, or damaged equipment.

Members may not block exits, hallways, stairs, fire-safety equipment or access routes.

In an emergency, Members must follow instructions from emergency personnel and The Little Library representatives.

The Little Library may immediately close or restrict access to all or part of the space when reasonably necessary to address a safety, security, maintenance or emergency concern.

20. Termination or Suspension by The Little Library

The Little Library may suspend or terminate a membership for:

  • Nonpayment

  • Material or repeated violation of this Agreement, the Coworking Rules or the Liability Waiver

  • Sharing access credentials

  • Dangerous, illegal, threatening or seriously disruptive behavior

  • Harassment or discrimination

  • Damage to the property

  • Misuse of the internet or security systems

  • Conduct that materially interferes with another member’s use of the space

  • Providing false or misleading enrollment information

When appropriate, The Little Library may provide a warning and an opportunity to correct the issue. However, The Little Library may suspend access or terminate membership immediately when it reasonably believes immediate action is needed to protect people, property, security or business operations.

If The Little Library terminates a membership for the Member’s violation, amounts already paid are nonrefundable, and the Member remains responsible for any unpaid amounts accrued before termination, including the remaining portion of a Dedicated Desk initial commitment, to the extent permitted by law.

The Little Library may also discontinue a membership category or terminate a membership for reasons unrelated to Member misconduct by providing reasonable notice. In that circumstance, The Little Library will refund any prepaid fees covering a period after the effective termination date.

21. No Lease or Property Interest

This Agreement grants the Member a limited, revocable, nonexclusive license to use designated coworking areas and amenities subject to this Agreement.

It is not a lease and does not create a landlord-tenant relationship, tenancy, easement or other interest in real property.

Except for an assigned Dedicated Desk, membership does not grant the Member exclusive possession of any portion of the premises.

The Little Library retains possession, control and management of the entire space at all times.

22. Notices and Electronic Transactions

The Member agrees that this transaction may be conducted electronically and consents to receiving membership agreements, billing notices, policy updates, renewal information and other communications by email or through Breely.

The Member is responsible for keeping current contact information in the membership account.

Notices from the Member concerning account questions may be sent to: hello@thelittlelibrary.co

Membership cancellation must be submitted through Breely as described in Section 7.

Electronic acceptance of this Agreement has the same intended effect as a handwritten signature.

23. Changes to This Agreement

The Little Library may update this Agreement when reasonably necessary to reflect changes in law, pricing, services, safety requirements or business operations.

The Little Library will provide clear electronic notice before a material change takes effect and will include cancellation information when required by law.

Continued use of the space after the effective date of a properly communicated update constitutes acceptance of the revised terms, except where affirmative consent is required by applicable law.

24. Governing Law and Venue

This Agreement is governed by the laws of the Commonwealth of Virginia.

Any legal action arising from this Agreement shall be brought in a court of competent jurisdiction serving the City of Lynchburg, Virginia, unless applicable law requires otherwise.

25. Severability and Waiver

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will remain in effect.

The Little Library’s failure to enforce a provision on one occasion does not waive its right to enforce that provision later.

26. Entire Agreement

This Agreement, together with the Coworking Rules, Liability Waiver, selected membership details and any separately accepted policies, represents the entire agreement concerning the Studio Pass or Dedicated Desk membership.

It supersedes prior discussions or representations concerning that membership.

Any exception or modification applicable to a particular Member must be confirmed in writing by an authorized representative of The Little Library.

27. Member Acknowledgment

By checking the acceptance box or electronically signing below, the Member acknowledges that:

  • The Member has read and understands this Membership Agreement.

  • The Member has reviewed the selected membership price, billing frequency, and minimum commitment.

  • The Member understands that membership renews automatically until properly canceled.

  • The Member authorizes recurring monthly payments.

  • The Member understands how to cancel through Breely.

  • The Member has separately reviewed and accepted the Coworking Rules.

  • The Member has separately reviewed and accepted the Liability Waiver.

  • The Member consents to conducting this transaction electronically.

  • The Member voluntarily agrees to be bound by these terms.
